1. Appointment
Oiii Pty Ltd (“Oiii”) may appoint an individual or entity (“Agent”) to promote Oiii taxi services within an assigned geographic region (“Region”).
Appointment is:
• Non-transferable
• Subject to performance
• Subject to ongoing compliance with these Terms
Oiii may appoint multiple agents in a Region unless exclusivity is expressly confirmed in writing.
2. Scope of Role
The Agent’s role is limited to:
• Promoting Oiii services
• Introducing potential taxi drivers
• Assisting with initial onboarding guidance
The Agent:
• Is not authorised to bind Oiii contractually
• Must not make representations regarding pricing, contracts, or regulatory approvals
• Must not collect money on behalf of Oiii unless authorised
3. Flyer Program
Approved Agents must purchase customised marketing flyers containing a unique referral QR code.
• Standard package: $100 for 500 flyers
• Payment must be made before printing commences
• Flyers remain Oiii intellectual property
4. Commission Eligibility
Commission is payable only when a referred driver:
• Completes registration
• Is approved by Oiii
• Signs required agreements
• Installs Oiii equipment
• Becomes an active Oiii Taxi driver
Oiii retains sole discretion in determining driver approval and activation.
5. Conduct Requirements
Agents must:
• Act professionally and ethically
• Comply with all laws and transport regulations
• Respect competitor operations
• Avoid harassment or aggressive recruitment
• Follow Oiii branding guidelines
6. Territory Management
Regions may be:
• Provisional
• Shared
• Exclusive
• Reassigned
Oiii may reallocate or revoke territories based on performance.
7. Termination
Oiii may terminate an Agent relationship immediately where:
• Misconduct occurs
• Misleading statements are made
• Reputational risk arises
• Performance thresholds are not met
Outstanding commissions may still be payable subject to policy.
8. Independent Contractor Status
Agents are independent contractors and not employees, partners or franchisees.
Agents are responsible for:
• Their own tax obligations
• Insurance
• Business expenses
Commission Policy
1. Commission Amount
Standard commission:
$150 per converted active Oiii Taxi driver
Oiii may vary commission rates at its discretion for future referrals.
2. Commission Trigger
Commission becomes payable when:
• Driver signs agreement
• Equipment installed
• Driver activated on platform
• Driver completes first trip
3. Payment Timing
Commission payments:
• Processed monthly
• Subject to verification
• Paid via bank transfer
4. Disqualified Commissions
Commission is not payable if:
• Driver was already in Oiii database
• Driver cancels before activation
• Fraud or misrepresentation occurs
5. Clawback
Oiii may reverse commission where:
• Driver becomes inactive within initial period
• Equipment removed prematurely
• Fraudulent recruitment identified
Referral Attribution Policy
1. Attribution Method
Driver referrals are tracked via:
• QR codes
• Referral links
• Manual verification
2. Attribution Rule
First valid referral takes precedence.
3. Disputes
Oiii may investigate disputes and make final determination.
4. Attribution Lock
Once a driver is attributed:
• Attribution cannot be changed without admin approval
Branding and Marketing Guidelines
Agents must:
• Use only approved Oiii logos
• Not modify flyer designs
• Not create unofficial marketing materials
• Not make earnings guarantees
• Not represent themselves as Oiii employees
Agents must avoid:
• Negative competitor commentary
• Misleading claims
• Regulatory misstatements
All digital marketing must be approved.
Privacy Collection Notice
Oiii collects personal information from:
• Agent applicants
• Referred drivers
Information may include:
• Name
• Contact details
• Identification
• Business information
Purpose of collection:
• Recruitment assessment
• Onboarding
• Regulatory compliance
• Commission administration
Information may be disclosed to:
• Regulators
• Payment providers
• Equipment installers
Data is stored securely in accordance with Australian privacy law.
Portal Use Terms
Agents receive portal access for business purposes only.
Agents must:
• Keep login credentials secure
• Not share data externally
• Not attempt system manipulation
Oiii may:
• Suspend portal access
• Audit usage
• Update portal features
Portal data remains Oiii property.
Commission Dispute Resolution Policy
Purpose
To establish a clear framework for resolving commission disputes.

• Multiple agents claim same driver
• Agent disputes driver activation status
• Commission reversal
• Fraud suspicion
Process
Step 1 — Informal Review
Agent submits written dispute within 14 days.
Step 2 — Internal Investigation
Oiii reviews:
• Referral timestamps
• QR scan data
• CRM records
• Communications
Step 3 — Determination
Oiii provides written outcome.
Step 4 — Escalation
Senior management review available.
Oiii determination is final.
Airport Flyer Distribution SOP
