Net-Cabs Pty Ltd trading as Oiii (“Oiii”, “we”, “us”, “our”)
1. Agreement
By submitting an application, being approved, or participating in the Oiii Merchant Partner Program, you (“Merchant”, “you”, “your”) agree to be legally bound by these Terms and Conditions.
This agreement constitutes a binding commercial arrangement between you and Oiii.
2. Nature of Services
Oiii provides a digital platform that enables Merchants to:
- promote their business, products and services within the Oiii app and related channels
- publish offers, discounts, packages or experiences
- be discovered by Oiii users based on location, category and user behaviour
Oiii does not guarantee:
- customer traffic
- sales or revenue
- redemption volumes
3. Merchant Representations and Obligations
You warrant and agree that:
- all information provided is accurate, complete and not misleading
- you are authorised to act on behalf of the business
- your business complies with all applicable laws, regulations, licences and permits
- all offers submitted are genuine, available and capable of being fulfilled
- you will honour all published offers without unreasonable restriction or refusal
You must not:
- submit false, misleading or deceptive content
- discriminate unlawfully against customers
- refuse valid redemptions without reasonable cause
4. Offers and Redemption
You are solely responsible for:
- defining the structure, availability and conditions of your offer
- ensuring operational capacity to fulfil the offer
- honouring all valid redemptions
Oiii may:
- impose limits, conditions or structures on how offers are presented
- adjust how offers are displayed to optimise performance and user experience
5. Oiii Editorial, Optimisation and Modification Rights
5.1 Content Editing and Optimisation
You expressly grant Oiii the right to:
- edit, format, summarise or rewrite submitted content
- optimise listings for clarity, conversion and user experience
- adjust titles, descriptions, images and categorisation
- standardise presentation across the platform
5.2 Promotional Enhancements
Oiii may:
- add headings, highlights, tags or feature labels
- reposition or prioritise listings within the app
- include your business in curated collections, campaigns or regional features
5.3 Recommendations, Reviews and Write-Ups
Oiii reserves the right to:
- publish recommendations, commentary or promotional write-ups about your business
- include editorial content describing the experience, venue or offering
- incorporate user feedback, ratings or reviews into your listing
5.4 Venue Visits and First-Hand Content
You acknowledge and agree that:
- Oiii representatives may visit your venue or experience
- Oiii may produce independent descriptions, reviews, images or promotional content based on such visits
- such content may be published within the Oiii app or marketing channels
5.5 No Approval Requirement
Oiii is not required to obtain your approval prior to:
- editing or modifying content
- publishing editorial material or recommendations
- adjusting how your listing appears
However, Oiii will act reasonably and in good faith to ensure accuracy and fair representation.
6. Oiii Points and Offer Unlocking
Where applicable:
- offers may be linked to Oiii Points
- Oiii determines how points are earned, calculated and redeemed
- Oiii may modify point thresholds, mechanics or eligibility at any time
7. Intellectual Property and Content Licence
You grant Oiii a perpetual, irrevocable, worldwide, royalty-free licence to:
- use, reproduce, adapt and publish your submitted content
- display your business name, branding and materials
- create derivative content for promotional purposes
This includes use across:
- the Oiii app
- websites
- marketing campaigns
- social media
8. Approval, Suspension and Removal
Oiii may, at its sole discretion:
- approve or reject any application
- suspend or remove any listing or offer
- request changes to content or offers
- remove content that does not meet quality or compliance standards
Oiii is not required to provide reasons for such decisions.
9. Customer Experience and Complaints
You are responsible for:
- delivering the experience as described
- resolving customer issues directly
Oiii may:
- intervene where necessary to protect customer experience
- remove or downgrade listings based on complaints or poor performance
10. Liability
To the maximum extent permitted by law:
Oiii is not liable for:
- any loss of revenue, business or opportunity
- customer behaviour or disputes
- failure of customers to redeem offers
- reliance on platform visibility or ranking
11. Indemnity
You agree to indemnify and hold harmless Oiii against any claims, losses, damages or liabilities arising from:
- your business operations
- your offers or promotions
- inaccurate or misleading information
- breach of these Terms
12. Breach, Penalties and Cost Recovery
12.1 Breach Events
A breach includes, but is not limited to:
- failure to honour a valid offer or redemption
- provision of false, misleading or inaccurate information
- poor customer experience, including substantiated complaints
- misuse of the Oiii platform or systems
- breach of any applicable law or regulation
- conduct that may harm the reputation of Oiii
12.2 Oiii Enforcement Rights
Where a breach occurs, Oiii may, at its discretion and without prior notice:
- remove or suspend the relevant offer or listing
- temporarily or permanently suspend your Merchant account
- restrict visibility or ranking of your listing
- require corrective action within a specified timeframe
- cancel or invalidate affected offers
12.3 Customer Remediation
Where a Merchant fails to honour an offer or otherwise causes a negative customer experience, Oiii may:
- provide refunds, credits or compensation to affected customers
- arrange alternative services or offers
Any such costs incurred by Oiii may be:
- recovered from the Merchant as a debt due and payable
- offset against any amounts payable to the Merchant (if applicable)
12.4 Financial Recovery and Chargebacks
You agree that Oiii may recover from you any losses, costs or expenses arising from your breach, including but not limited to:
- customer refunds or goodwill credits
- chargebacks or payment reversals
- administrative and handling costs
- reasonable legal or recovery costs
Such amounts:
- constitute a liquidated debt owed by you to Oiii
- are payable on demand
- may be recovered via invoice, direct debit (if authorised), or other lawful means
12.5 Penalty Fees
Oiii reserves the right to introduce reasonable penalty fees for specific breach events, including:
- repeated failure to honour offers
- excessive customer complaints
- misuse of promotional offers
You will be notified prior to any such fees being applied.
12.6 Reputational Protection
Oiii may take any action it considers reasonably necessary to:
- protect customer trust
- maintain platform integrity
- safeguard the Oiii brand
This includes removal, demotion or public-facing adjustments to your listing.
12.7 No Waiver
Failure by Oiii to enforce any right does not constitute a waiver of that right.
13. Pre-Authorised Payment and Recovery
13.1 Authorisation
By participating in the Oiii Merchant Partner Program, you authorise Oiii to:
- charge, debit or otherwise recover amounts owed to Oiii
- process payments via any payment method provided by you, including:
- credit or debit card
- direct debit (if applicable)
- any other authorised payment method
This authorisation applies to all amounts payable under these Terms.
13.2 Recoverable Amounts
Amounts that may be recovered include (without limitation):
- customer refunds or compensation
- chargebacks or payment reversals
- administrative and processing costs
- penalty fees (if applicable)
- any other amounts owed under these Terms
13.3 Timing of Recovery
Oiii may:
- recover amounts immediately upon becoming due, or
- issue an invoice with a specified payment period
If payment is not made within the required timeframe, Oiii may:
- automatically debit the authorised payment method
- suspend or restrict your account
13.4 Failure of Payment
If a payment attempt fails:
- Oiii may retry the transaction
- additional administrative or recovery fees may apply
- your account may be suspended until payment is resolved
13.5 Continuing Authority
This authorisation remains in effect:
- for the duration of your participation
- after termination, to recover outstanding amounts
14. Minimum Service Standards
14.1 Service Requirements
You must meet minimum service standards, including:
- honouring all valid offers without refusal
- delivering the experience as described
- maintaining reasonable availability and capacity
- providing a safe, lawful and professional customer experience
- responding to bookings or redemptions within a reasonable timeframe
14.2 Performance Monitoring
Oiii may monitor performance based on:
- customer ratings and reviews
- complaint frequency and severity
- redemption success rate
- cancellation or refusal rates
- engagement and conversion metrics
14.3 Automatic Enforcement
Where minimum standards are not met, Oiii may automatically apply measures including:
- temporary reduction in listing visibility
- removal of specific offers
- application of penalty fees (if applicable)
- suspension of promotional or featured placement eligibility
No prior notice is required where action is reasonably necessary.
14.4 Corrective Action
Oiii may require you to:
- rectify issues within a specified timeframe
- update or improve your offer or operations
Failure to comply may result in suspension or termination.
15. Merchant Score and Automated Controls
15.1 Merchant Score
Oiii may assign each Merchant a performance score (“Merchant Score”) based on factors including:
- customer ratings and feedback
- complaint rates
- fulfilment and redemption performance
- engagement and conversion metrics
- compliance with these Terms
15.2 Score-Based Actions
Oiii may apply automated actions based on Merchant Score thresholds, including:
- Score Reduction Threshold
→ reduced visibility or ranking
- Warning Threshold
→ notification and requirement for corrective action
- Suspension Threshold
→ temporary suspension of listings or account
- Removal Threshold
→ permanent removal from the platform
15.3 No Obligation to Disclose Methodology
Oiii:
- is not required to disclose how Merchant Scores are calculated
- may modify scoring criteria at any time
15.4 Immediate Suspension
Notwithstanding any scoring system, Oiii may suspend or remove a Merchant immediately where:
- serious complaints are received
- customer safety or trust is at risk
- misleading or deceptive conduct is identified
16. Featured Placement, Promotion and Monetisation
Oiii may offer Merchants optional promotional opportunities, including but not limited to:
- featured listings
- priority placement within search results or categories
- inclusion in curated collections or campaigns
- highlighted or boosted visibility within the Oiii app
Such opportunities may be:
- free (at Oiii’s discretion), or
- subject to fees, commissions or other commercial arrangements
Oiii retains full discretion to:
- determine ranking, placement and visibility of all listings
- prioritise listings based on commercial arrangements, performance, relevance or user behaviour
- modify how featured placements are displayed
Participation in any paid or promotional placement does not guarantee:
- minimum impressions
- customer engagement
- conversion outcomes
Oiii may introduce, vary or withdraw promotional products at any time.
17. Termination
Either party may terminate participation at any time.
Oiii may terminate immediately where:
- there is a breach of these Terms
- content is misleading or harmful
- customer experience is compromised
18. Changes to Terms
Oiii may update these Terms at any time.
Continued participation constitutes acceptance of the updated Terms.

- Oiii collects personal and business information to:
- assess and process your Merchant Partner application
- onboard and manage your business listing within the Oiii platform
- publish and promote your business, offers and content in the Oiii app and related channels
- communicate with you regarding your application, account and offers
- monitor performance, engagement and platform usage
- comply with legal and regulatory obligations
2. Information Collected
Information collected may include:
- business details (name, ABN/ACN, address, trading name)
- contact details (name, email, phone number)
- authorised representative details
- business descriptions, offers and promotional content
- uploaded materials (images, documents, marketing assets)
- operational information (location, trading hours, categories)
- usage, engagement and performance data relating to your listing
3. Use of Information
Your information may be used to:
- create, publish and manage your Merchant listing
- display and promote your business within the Oiii app
- facilitate offer redemption and customer interactions
- communicate updates, requests and operational matters
- analyse performance and improve platform functionality
- support internal reporting, quality control and optimisation
- enforce compliance with Oiii policies and Terms
4. Disclosure of Information
Oiii may disclose your information to:
- service providers, contractors and technology partners
- payment processors and platform infrastructure providers
- affiliated entities within the Oiii group
- regulatory authorities or government agencies where required
- third parties where necessary to operate, maintain or improve the platform
5. Storage and Security
Oiii takes reasonable steps to:
- store information securely
- protect against unauthorised access, misuse or disclosure
Information may be stored on servers located in Australia or overseas.
6. Access and Correction
You may request access to, or correction of, your personal or business information by contacting Oiii.
7. Consent
By submitting this application, you:
- consent to the collection, use and disclosure of your information as outlined above
- confirm you are authorised to provide the information on behalf of the business
- acknowledge that failure to provide required information may result in your application not being processed
Portal Use Terms
Oiii Merchant Platform Use Terms
Net-Cabs Pty Ltd trading as Oiii (“Oiii”, “we”, “us”, “our”)
1. Access
Access to any Oiii Merchant platform, portal or system (“Platform”) is:
- restricted to authorised users only
- granted at Oiii’s discretion
- non-transferable and revocable at any time
You are responsible for ensuring that only authorised persons access your account.
2. Administrator Responsibilities
The nominated business administrator is responsible for:
- managing user access and permissions
- ensuring all users comply with these Terms
- maintaining accurate business and offer information
- overseeing all activity conducted under the account
All actions taken under your account are deemed to be authorised by you.
3. Account Security
You must:
- keep login credentials secure and confidential
- not share access credentials between users
- immediately notify Oiii of any suspected unauthorised access
You are liable for all activity conducted through your account, whether authorised or not.
4. Acceptable Use
You must not, and must not permit any user to:
- misuse or exploit the Platform
- submit false, misleading or unlawful content
- attempt to gain unauthorised access to any system or data
- interfere with, disrupt or degrade Platform performance
- reverse engineer, copy or extract Platform functionality or data
- use the Platform for any purpose not authorised by Oiii
Oiii may monitor usage to ensure compliance.
5. Content and Data
You are responsible for:
- all content uploaded or submitted through the Platform
- ensuring accuracy, legality and appropriateness of such content
Oiii may:
- edit, format or remove content at its discretion
- use submitted content in accordance with the Merchant Terms
Data, analytics and reporting provided via the Platform:
- are for your internal business use only
- must not be shared, resold or commercially exploited
- may not be real-time, complete or error-free
6. System Integrity and Restrictions
You must not:
- introduce viruses, malicious code or harmful material
- attempt to bypass security controls or system safeguards
- use automated tools (bots, scrapers) without permission
Any activity that threatens Platform integrity may result in immediate suspension.
7. Availability and Changes
The Platform is provided on an “as available” and “as is” basis.
Oiii may:
- modify, update or remove features at any time
- suspend or restrict access without notice
- introduce new functionality or requirements
Oiii does not guarantee uninterrupted or error-free operation.
8. Suspension and Termination
Oiii may suspend or terminate access immediately if:
- these Terms are breached
- misuse or suspicious activity is detected
- your Merchant participation is suspended or terminated
- required information is not maintained or updated
Oiii is not liable for any loss resulting from suspension or termination.
9. Compliance with Laws
You must ensure that use of the Platform complies with all applicable laws, including:
- privacy laws
- consumer protection laws
- advertising and promotional regulations
10. Changes to Terms
Oiii may update these Platform Use Terms at any time.
Continued use of the Platform constitutes acceptance of the updated Terms.
11. Breach and Enforcement
If you breach these Platform Use Terms, Oiii may:
- suspend or terminate access immediately
- restrict or disable specific functionality
- remove or modify content
- recover any costs, losses or damages incurred
You remain liable for all activity conducted through your account and any resulting consequences.
