Oiii Business Hub – Terms of Trade & Credit Agreement

1. Definitions

In this Agreement:

  • Oiii” means Net-Cabs Pty Ltd trading as Oiii (ABN 22 167 868 859).
  • Business” means the entity applying for or using the Business Hub.
  • Agreement” means these Terms of Trade and Credit Agreement.
  • Business Hub” means the Oiii business account and associated services.
  • Portal” means the Oiii Business Hub Portal.
  • Services” means transport, booking, dispatch and related services provided by Oiii.
  • Charges” means all fares, fees, surcharges and other amounts payable.

2. Agreement & Acceptance

2.1 By submitting an application or using the Business Hub, the Business agrees to be bound by this Agreement.

2.2 This Agreement forms a legally binding contract between Oiii and the Business.

2.3 Oiii may amend this Agreement at any time. Continued use constitutes acceptance.

3. Application & Credit Approval

3.1 All applications are subject to approval at Oiii’s sole discretion.

3.2 Oiii may:

  • approve, decline or conditionally approve any application
  • set credit limits
  • request additional information

3.3 Approval of a Business Hub account constitutes the extension of credit by Oiii to the Business.

4. Business Account Responsibility

4.1 The Business is liable for all activity conducted under its account, including by its employees, contractors or authorised users.

4.2 The Business must ensure:

  • all information provided is accurate
  • account access is controlled
  • usage complies with applicable laws

4.3 A nominated administrator acts on behalf of the Business and binds the Business.

5. Services

5.1 Oiii will use reasonable efforts to provide Services but does not guarantee availability.

5.2 Booking priority may be provided but is not guaranteed.

5.3 Services are provided on an “as available” basis.

6. Pricing & Discounts

6.1 Charges are determined in accordance with Oiii pricing at the time of booking.

6.2 Business Hub discounts are based on monthly trip volumes.

6.3 Oiii may:

  • vary discount tiers
  • exclude certain trips
  • withdraw discounts at any time

6.4 Discounts do not apply retrospectively unless expressly stated.

7. Billing & Payment Terms (Credit Terms)

7.1 Invoicing

  • Charges will be invoiced monthly unless otherwise agreed.
  • Invoices will be issued electronically.

7.2 Payment Terms

  • All invoices must be paid in full by the due date stated on the invoice.
  • Time for payment is of the essence.

7.3 Interest on Late Payments

  • Oiii may charge interest on overdue amounts at a rate of up to 10% per annum, calculated daily and compounded monthly, or the maximum permitted by law (whichever is lower).
  • Interest accrues from the due date until payment is received in full.

7.4 Recovery Costs

The Business must indemnify Oiii for all reasonable costs incurred in recovering overdue amounts, including:

  • debt collection costs
  • legal fees
  • administrative costs

7.5 Credit Suspension

Oiii may, at its sole discretion:

  • suspend Services
  • restrict bookings
  • reduce or withdraw credit limits

if any amount remains unpaid.

7.6 Set-Off

Oiii may set off any amounts owed by the Business against any amounts payable to the Business.

8. Default

The Business is in default if:

  • payment is overdue
  • false or misleading information is provided
  • this Agreement is breached

Upon default, Oiii may:

  • suspend or terminate the account
  • cancel bookings
  • recover all outstanding amounts immediately

9. Liability & Indemnity

9.1 Limitation of Liability

To the maximum extent permitted by law:

  • Oiii is not liable for indirect, incidental or consequential loss
  • Oiii’s liability is limited to the value of the Services provided

9.2 Indemnity

The Business indemnifies Oiii against all claims, losses or damages arising from:

  • misuse of the Services
  • breach of this Agreement
  • unlawful conduct by the Business or its users

10. Account Suspension & Termination

10.1 Oiii may suspend or terminate an account at any time if:

  • payment obligations are not met
  • misuse is detected
  • terms are breached

10.2 Termination does not affect accrued rights or outstanding debts.

11. Privacy

11.1 Oiii collects and uses personal and business information in accordance with its Privacy Collection Notice.

11.2 By using the Business Hub, the Business consents to such collection and use.

12. General

12.1 This Agreement is governed by the laws of Victoria, Australia.

12.2 If any provision is invalid, the remainder continues in force.

12.3 This Agreement constitutes the entire agreement between the parties.

13. Personal Guarantee (Optional for Higher Risk Accounts)

13.1 Oiii may require a director or authorised person to provide a personal guarantee.

13.2 The guarantor agrees to be personally liable for all amounts owed by the Business.

1. Oiii collects personal and business information to:

  • assess your application
  • set up and manage your business account
  • provide booking and billing services
  • communicate with your organisation

2. Information collected includes:

  • business details (name, ABN, address)
  • contact details
  • administrator details
  • usage and booking data

3. Use of information

Your information may be used to:

  • create and manage your account
  • process bookings and payments
  • improve services
  • comply with legal obligations

4. Disclosure

Information may be shared with:

  • service providers
  • payment processors
  • regulators where required

5. Storage & Security

Oiii takes reasonable steps to protect your information.

6. Access & Correction

You may request access or correction of your information.

7. Consent

By submitting this form, you consent to the collection and use of your information as outlined above.

Portal Use Terms

Oiii Business Hub Portal Use Terms

1. Access

  • Access is provided to authorised users only.
  • You are responsible for maintaining login security.

2. Administrator Responsibilities

The business administrator:

  • manages users and access
  • ensures appropriate use
  • oversees bookings and activity

3. Account Security

  • Credentials must not be shared.
  • You must notify Oiii of any unauthorised access.

4. Acceptable Use

Users must not:

  • misuse the system
  • attempt unauthorised access
  • interfere with platform functionality

5. Data & Reporting

  • Data displayed in the portal is for business use only.
  • Oiii does not guarantee real-time accuracy in all cases.

6. Availability

  • The portal is provided on an “as available” basis.
  • Oiii may update or suspend features without notice.

7. Termination

Access may be revoked if:

  • terms are breached
  • the account is suspended or terminated
