These Terms & Conditions (Terms) apply to access to and use of the Oiii website and the Oiii Platform generally. They are intended to operate together with the more specific terms that apply to particular Oiii products and services.
1. About Oiii and these Terms
1.1 Oiii is operated by Net-Cabs Pty Ltd ABN 22 167 868 859, trading as Oiii (Net-Cabs, Oiii, we, us or our).
1.2 The Oiii Platform includes the Oiii website, Oiii Passenger App, Oiiiplus Driver App, Oiii Vehicle Dispatch System (VDS), Oiiicam and associated camera and safety technology, Oiii Business Hub, and other related software, systems, applications, portals, equipment and services developed or operated by us or on our behalf.
1.3 These Terms apply to visitors to our website and, to the extent relevant, people who access or use the Oiii Platform. Additional terms apply to particular Oiii services.
1.4 By accessing or using the Oiii Platform, you agree to comply with these Terms and any additional terms that apply to the particular service you use. If you do not agree, you must not use the relevant service.
1.5 If you use the Oiii Platform on behalf of another person or an organisation, you warrant that you have authority to do so and to bind that person or organisation where applicable.
2. Specific agreements and order of precedence
2.1 Different parts of the Oiii Platform are governed by specific agreements and conditions, which may include the:
- Oiiiplus Driver App End User Licence Agreement;
- Oiii Driver End User Licence Agreement;
- Oiii Services Agreement;
- Oiii Privacy Policy;
- Supervised Transport conditions and disclosures;
- Oiii Business Hub terms or agreements;
- promotion-specific terms; and
- other service-specific terms notified to you before or when you use a service.
2.2 These Terms are general or supplementary terms. They do not replace a specific agreement that applies to a particular service, driver, operator, business customer, booking or transaction.
2.3 If these Terms are inconsistent with a specific agreement, the specific agreement prevails to the extent of the inconsistency for the subject matter it governs.
2.4 Nothing in these Terms limits any right or remedy that cannot lawfully be excluded or limited.
3. Eligibility and accounts
3.1 You must be legally capable of using the relevant Oiii service and entering into any agreement required for that service. If you are under 18, use of a service may require the involvement or consent of a parent, guardian or other authorised adult, depending on the service and applicable law.
3.2 When creating or maintaining an Oiii account, you must provide information that is accurate, complete and current.
3.3 You are responsible for keeping your account credentials secure. You must not share credentials where the relevant account or service is intended for your individual use.
3.4 You must notify us promptly if you become aware of unauthorised access to or use of your account.
3.5 We may use reasonable authentication, identity, security and fraud-prevention measures in connection with accounts and services.
4. Oiii transport services
4.1 Oiii provides technology and services that facilitate and support passenger transport, including booking, dispatch, fare, payment, location, communications, safety and related functions.
4.2 Depending on your location, the journey, vehicle availability and the services enabled at the time, the Oiii Passenger App may offer different ride options, including:
Oiii Fixed — Upfront fare, locked in. The fare is shown before booking and is locked in for the booked journey, subject to applicable additional charges or changes to the trip.
Oiii Taxi — Metered fare, estimated. The app may show an estimated fare range before booking. The final fare is calculated by the taxi meter in accordance with the applicable tariff.
Oiii Bid — Name your price. A Passenger may propose a fare and eligible Drivers may accept the offer or make a counter-offer. A booking is formed when an available offer is accepted in accordance with the Oiii Bid process.
4.3 Not every ride option, vehicle type or service is available in every location or for every journey.
4.4 Estimated fares, travel times, arrival times, routes and other estimates are indicative only unless expressly stated otherwise.
4.5 Drivers and vehicles providing transport through Oiii may be subject to separate legal, regulatory, accreditation, licensing, operator and Oiii requirements.
5. Bookings, fares and payments
5.1 When making a booking, you must provide accurate information and review the booking details before confirming the request.
5.2 The fare basis, applicable charges and available payment methods depend on the service selected and the information shown through the Oiii Platform.
5.3 Oiii may use third-party payment providers and approved payment terminals to process or facilitate payments.
5.4 We or our payment providers may pre-authorise an amount on a payment method where this is disclosed as part of the booking or payment process. A pre-authorisation is not necessarily the final fare or final charge.
5.5 Additional charges may apply where disclosed through the Oiii Platform or permitted under the applicable service terms or law, including where a journey is changed, tolls or other trip costs apply, or a cancellation or other charge is validly incurred.
5.6 Any refund, adjustment, cancellation charge or disputed payment is dealt with under the terms applying to the relevant booking or service and any rights available under applicable law.
6. Oiii Bid
6.1 Oiii Bid allows a Passenger to propose a fare for an eligible journey and eligible Drivers to accept that offer or, where available, make a counter-offer.
6.2 An offer or counter-offer does not guarantee that a Driver will accept the journey.
6.3 Before accepting an Oiii Bid fare, users should review the proposed journey and fare information presented through the Platform.
6.4 Once a fare is agreed and the booking is confirmed, the agreed fare applies subject to the booking terms, any authorised variation to the journey and any applicable additional charges.
7. Oiii Taxi, VDS and Oiiiplus
7.1 An Oiii Taxi is an eligible taxi operating with Oiii’s integrated technology and services.
7.2 The VDS is Oiii’s in-vehicle Vehicle Dispatch System. Depending on vehicle configuration, it may integrate dispatch, metering, Oiiicam, communications, payment, government taxi subsidy and safety functions.
7.3 Oiiiplus is Oiii’s driver application. The functionality available to a Driver depends on the Driver’s approval, vehicle, location and Oiii services enabled for the account.
7.4 Drivers and operators must comply with the specific Driver EULAs, Services Agreement, Driver Handbook and other requirements that apply to their use of Oiii systems and equipment.
8. Oiiicam and safety technology
8.1 Oiiicam is Oiii’s integrated camera and safety technology used in compatible Oiii-equipped vehicles.
8.2 Depending on the vehicle, jurisdiction and services enabled, Oiiicam and connected Oiii systems may support security-camera functions, live supervision, location and journey information, driver or vehicle safety functions and other authorised safety, security, compliance or operational purposes.
8.3 Security-camera recording and live Supervised Transport access are related but distinct functions. The existence of live access does not itself give a Passenger, Supervisor or other person a right to access stored security-camera recordings.
8.4 Access to, use, storage, retention and disclosure of camera, audio and related information is subject to applicable law, the Oiii Privacy Policy and relevant service-specific terms.
8.5 You must not tamper with, obstruct, disable, interfere with or misuse Oiiicam or another Oiii safety system.
9. Supervised Transport
9.1 Supervised Transport is an optional Oiii safety service available for eligible bookings using compatible Oiii-equipped vehicles.
9.2 A Passenger or person arranging an eligible journey may request Supervised Transport and nominate one or more authorised people (Supervisors) to supervise the journey, subject to the applicable Supervised Transport process and conditions.
9.3 During a Supervised Journey, an authorised Supervisor may be able to access live in-cabin video and audio, live vehicle location, and relevant driver, vehicle, booking and journey information through the Oiii Platform.
9.4 A Driver is not required to accept a Supervised Transport booking. A Driver who accepts a booking clearly identified as Supervised Transport accepts the applicable supervision conditions for that booking.
9.5 Live supervision may become available when the Driver arrives at the designated pickup location and may continue during boarding, the journey and disembarkation. It ordinarily ends when the Driver confirms through the Oiii system that the Passenger has safely exited the vehicle, or when Supervised Transport is otherwise terminated.
9.6 Supervisor access is controlled through the Oiii Platform and is limited to authorised access for the relevant Supervised Journey. Supervisors must not record, photograph, screenshot, screen-record, copy, download, rebroadcast, publish or otherwise capture or distribute protected Supervised Transport video, audio or information except where expressly authorised by Oiii or required by law.
9.7 Supervised Transport provides additional visibility and safety support. It does not guarantee the safety of any Passenger, Driver, Supervisor or other person.
9.8 Unless Oiii expressly states otherwise for a particular service, Oiii does not continuously monitor Supervised Transport video or audio on behalf of Passengers or Supervisors, and Supervised Transport is not an emergency response service.
9.9 In an emergency, contact the appropriate emergency service, including 000 in Australia, and use any applicable in-vehicle emergency function where appropriate.
10. Government taxi subsidy services
10.1 Oiii may support government taxi subsidy services in jurisdictions where the relevant service has been enabled.
10.2 Eligibility, subsidy amounts, member obligations, Driver and Operator requirements and payment processes are determined by the applicable government program and may vary by jurisdiction.
10.3 Users must comply with the rules of the applicable subsidy program and any instructions presented through the Oiii Platform.
10.4 Oiii does not determine a person’s eligibility for a government subsidy program unless expressly authorised to do so under that program.
11. Oiii Business Hub and business services
11.1 Oiii may provide organisations with access to the Oiii Business Hub or other business booking, account, reporting or transport-management services.
11.2 Business services may be subject to a separate agreement, account approval, credit or payment arrangements and service-specific conditions.
11.3 An organisation is responsible for ensuring that people using its business account are authorised to do so and comply with the applicable terms.
12. Promotions and offers
12.1 Oiii may make promotions, referral programs, discounts, credits, incentives or other offers available from time to time.
12.2 Each promotion or offer may have separate eligibility requirements, dates, limits and conditions.
12.3 If promotion-specific terms conflict with these Terms in relation to that promotion, the promotion-specific terms prevail to the extent of the inconsistency.
12.4 Unless expressly stated otherwise, a promotion does not create an ongoing entitlement to the same or a similar offer.
13. Acceptable use
13.1 You must use the Oiii Platform lawfully, safely and in accordance with these Terms and any service-specific terms.
13.2 You must not:
- use the Platform for unlawful, fraudulent, abusive, threatening or harmful conduct;
- impersonate another person or misrepresent your identity, authority or eligibility;
- access or attempt to access an account, system, data, media stream or information without authorisation;
- interfere with the security, integrity, availability or operation of the Platform or Oiii equipment;
- introduce malicious code or attempt to circumvent technical or security controls;
- scrape, harvest, copy or systematically extract Platform data except where authorised;
- reverse engineer or attempt to derive source code except to the extent such restriction is prohibited by law;
- misuse Passenger, Driver, Supervisor, business or journey information; or
- use Oiii content, systems or services in a way that infringes another person’s rights.
13.3 We may take reasonable steps to investigate suspected misuse and protect users, the Platform and Oiii systems.
14. Privacy, location, camera and other information
14.1 We handle personal information in accordance with the Oiii Privacy Policy and applicable law.
14.2 Depending on the service used, Oiii may collect or process information including account and contact details, booking and journey information, location information, Driver and vehicle information, payment information, support and incident information, and camera, audio or other safety-related information.
14.3 Additional notices or disclosures may be presented when particular information is collected or when a feature such as Supervised Transport is requested or used.
14.4 By using a feature that requires device permissions, you authorise the relevant access to the extent you enable that permission on your device. Some functions may not operate correctly if required permissions are disabled.
14.5 The Privacy Policy explains how we collect, hold, use and disclose personal information and how to contact us about privacy matters.
15. Third-party services and links
15.1 The Oiii Platform may integrate with or contain links to services, websites, maps, communications networks, payment services, app stores, devices or systems provided by third parties.
15.2 Third-party services may be subject to their own terms and privacy policies.
15.3 We are not responsible for third-party services to the extent they are outside our reasonable control, but nothing in this clause excludes any responsibility that cannot lawfully be excluded.
15.4 A link to or integration with a third-party service does not of itself mean that Oiii endorses all content, products or services of that third party.
16. Intellectual property
16.1 Unless otherwise stated, the Oiii Platform and its software, designs, branding, text, graphics, interfaces, functionality and other original content are owned by or licensed to Net-Cabs and are protected by applicable intellectual property laws.
16.2 Subject to these Terms and any specific agreement, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the relevant Oiii service for its intended purpose.
16.3 You do not acquire ownership of Oiii intellectual property by accessing or using the Platform.
16.4 You must not use Oiii names, logos, trade marks or branding without our prior authorisation except as permitted by law.
17. Service availability and changes
17.1 Oiii services depend on technology, telecommunications, third-party services, vehicle availability and other operational factors. We do not promise that every service will be continuously available or free from faults.
17.2 We may maintain, update, improve, add, remove or change Platform features where reasonably required for operation, safety, security, privacy, legal or regulatory compliance, fraud prevention, third-party service continuity, technical reasons or product development.
17.3 Where a change materially and adversely affects an ongoing paid service or contractual entitlement, we will provide notice where required by the applicable agreement or law.
17.4 We may correct errors, inaccuracies or omissions in information presented through the Platform.
18. Suspension and termination
18.1 You may stop using the Oiii Platform at any time, subject to any obligations under a specific agreement or outstanding booking, payment or account matter.
18.2 We may suspend, restrict or terminate access to all or part of the Platform where reasonably necessary, including where:
- you materially or repeatedly breach applicable terms;
- we reasonably suspect fraud, misuse, unauthorised access or a safety or security risk;
- your account, Driver, vehicle or service eligibility has expired, been suspended or ceased;
- suspension is required by law, a regulator or an authorised service provider; or
- continued access creates a material technical, privacy, safety or operational risk.
18.3 Where reasonably practicable and appropriate, we will give notice of a suspension or termination and information about any available review or support process.
18.4 Suspension or termination does not affect accrued rights, outstanding payment obligations or provisions intended to continue after access ends.
19. Australian Consumer Law and other non-excludable rights
19.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law, where it would be unlawful to do so.
19.2 Where goods or services are supplied to you as a consumer, you may have statutory rights and remedies that apply regardless of these Terms.
19.3 Any limitation or exclusion in these Terms operates only to the maximum extent permitted by law.
20. Disclaimers and responsibility
20.1 Subject to clause 19, estimates, availability information and general information provided through the Platform may depend on information supplied by users, Drivers, Operators, third parties and automated systems and may change.
20.2 Oiii does not guarantee that a Driver will accept a booking, that a particular vehicle or service will be available, or that an estimated pickup, arrival, journey time or fare estimate will be achieved.
20.3 Safety features, including Oiiicam and Supervised Transport, are designed to provide additional safety support, visibility or information. They do not eliminate transport risks, replace reasonable personal safety precautions or guarantee that an incident will be prevented, detected or responded to.
20.4 To the extent permitted by law, we are not responsible for loss caused by matters outside our reasonable control, including failures of telecommunications networks, third-party systems, user devices or services not operated by us.
21. Liability
21.1 Our liability is not excluded or limited to the extent that liability cannot lawfully be excluded or limited.
21.2 Subject to clause 21.1 and to the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable as a result of the relevant breach or event.
21.3 Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, wilful misconduct, or any other liability that cannot lawfully be limited.
21.4 A more specific agreement may contain liability provisions appropriate to that service. Where it applies, that agreement governs liability for its subject matter in accordance with clause 2.
22. Complaints, support and disputes
22.1 If you have a problem with an Oiii service, please contact Oiii Support using the contact details or support function provided through the relevant Oiii service or website.
22.2 We may ask you for information reasonably required to investigate a complaint, booking, payment, safety or account issue.
22.3 We will seek to address complaints through the applicable support or complaint process. Nothing in these Terms prevents you from exercising any right to contact a regulator, consumer body, emergency service or other authority.
23. Changes to these Terms
23.1 We may update these Terms to reflect changes to the Oiii Platform, our services, technology, business operations, applicable law or regulatory requirements.
23.2 The current version and effective date will be published on the Oiii website.
23.3 If a change is material and adversely affects an ongoing service you use, we will provide reasonable notice where practicable and where required by law or an applicable specific agreement.
23.4 Changes do not retrospectively alter rights or obligations that have already accrued unless permitted by law and expressly agreed or provided for under an applicable agreement.
23.5 If you do not agree to updated Terms, you may stop using the affected service, subject to any existing obligations under a specific agreement.
24. General
24.1 These Terms are governed by the laws of Victoria, Australia. This does not deprive you of any mandatory protection available under another applicable law.
24.2 If a provision of these Terms is invalid or unenforceable, it will be read down to the extent necessary where possible, and the remaining provisions continue to apply.
24.3 A failure or delay by either party to exercise a right does not waive that right.
24.4 These Terms, together with the specific agreements that apply to your use of Oiii, form the contractual framework governing that use. They do not displace a specific agreement except as expressly provided in these Terms or that agreement.
